Disputes will be resolved through binding arbitration as outlined in Section 25. If arbitration is not possible, exclusive jurisdiction will lie with the courts in Austin, Texas. Elume.ai Inc. DBA as Elume AI operates as a registered Delaware corporation.

  1. DISCLAIMER OF ADVICE

Elume.ai Inc. DBA as Elume AI is an AI-powered platform for human interaction intelligence in healthcare settings. It does not provide medical, legal, psychological, financial, investment, or professional advice. Your use of the Services is at your own risk. Elume.ai Inc. DBA as Elume AI is not responsible for any decisions or actions taken based on AI interactions.

  1. NO GUARANTEE OF RESULTS

Elume.ai Inc. DBA as Elume AI does not guarantee any specific outcomes, including improvements in patient satisfaction, service recovery, operational efficiency, decision-making, or any other results. Outcomes depend entirely on your actions, implementation, and circumstances.

  1. AI LIMITATIONS DISCLAIMER

Elume.ai Inc. DBA as Elume AI uses artificial intelligence to generate responses and analyze interactions, which may be inaccurate, incomplete, outdated, or inappropriate. These outputs are not a substitute for professional judgment or independent review. Elume.ai Inc. DBA as Elume AI disclaims all liability for errors, omissions, or damages arising from reliance on AI-generated content.

  1. MEDICAL DISCLAIMER

Elume.ai Inc. DBA as Elume AI’s total liability will not exceed the amount you paid for the Services in the twelve (12) months preceding the claim.

  1. INDEMNITY

You agree to indemnify and hold harmless Elume.ai Inc. DBA as Elume AI and its affiliates from any claims, damages, or expenses arising from your use or misuse of the Services or violation of these Terms.

  1. ACCOUNT RESPONSIBILITY

You are responsible for all activity under your account. You must provide accurate information and keep your login credentials secure.

  1. NO WARRANTY

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. The Services are experimental and informational.

  1. CHILDREN & MINORS

The Services are intended for users aged 18 and older. Minors must have parental or guardian consent. Parents and guardians are responsible for supervising use. Elume.ai Inc. DBA as Elume AI disclaims all liability related to underage use.

  1. INTELLECTUAL PROPERTY

All content, software, and branding are owned by Elume.ai Inc. DBA as Elume AI or its licensors. You may not copy, distribute, or exploit any part of the Services without prior written consent.

  1. AI OUTPUTS

You may use AI-generated outputs for personal or internal business use. Elume.ai Inc. DBA as Elume AI retains ownership of underlying models and technology. Outputs must not be presented as professional advice or used unlawfully.

  1. PROHIBITED USE

You agree not to use the Services for unlawful, abusive, fraudulent, or harmful activities, or to disrupt or interfere with the Services. Violations may result in suspension or termination.

  1. USER CONTENT

You are responsible for all content you submit. You must not upload unlawful or infringing material. Elume.ai Inc. DBA as Elume AI is not liable for user content or AI outputs influenced by such content.

  1. SMS Terms of Service

Program Description: Elume AI sends automated text messages for critical patient updates, escalation alerts, and system notifications.

​Message Frequency: Message frequency varies based on account activity and urgent escalation triggers.

​Opt-Out: You can cancel the SMS service at any time by texting STOP. After you send STOP, we will send an SMS to confirm that you have been unsubscribed.

​Help: If you experience issues, reply with the keyword HELP or contact team@elume.ai.

  1. SERVICE AVAILABILITY

The Services may be modified, suspended, or discontinued at any time without notice. We do not guarantee uninterrupted or error-free operation. Downtime may occur due to maintenance or external factors.

  1. THIRD-PARTY SERVICES

The Services may integrate third-party providers. Your interactions with them are governed by their terms. Elume.ai Inc. DBA as Elume AI is not responsible for third-party actions, failures, or content.

  1. COMPLIANCE

You must use the Services in compliance with applicable laws. You are responsible for ensuring your use is lawful in your jurisdiction.

  1. ARBITRATION

Disputes will be resolved through binding arbitration in Austin, Texas, under the Federal Arbitration Act and applicable Texas law. You waive the right to a jury trial or class action.

  1. CLASS ACTION WAIVER

Disputes must be resolved individually. Claims must be filed within twelve (12) months or are permanently barred.

  1. FORCE MAJEURE

Elume.ai Inc. DBA as Elume AI is not liable for delays or failures caused by events beyond its control, including natural disasters, outages, or cyberattacks.

 

  1. SEVERABILITY & WAIVER

If any provision is unenforceable, the remainder remains valid. Failure to enforce a provision does not waive it.

  1. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Elume.ai Inc. DBA as Elume AI regarding the Services.

CareTeam Advocate Avatar – Family & Caregiver Engagement

Keeps family members and caregivers informed and involved in the patient’s care journey. Connects with the designated caregiver to check in, confirms prescriptions were filled, identifies barriers (financial or transportation), provides assistance resources, and notifies the clinic if concerns arise. Requests feedback on the overall visit experience and opportunities for improvement.

Clinician digital human Advocate determines how the patient is feeling following their visit. It inquires about any new symptoms that may have developed since discharge. Confirms that prescriptions have been filled and verifies understanding of all post-discharge instructions. Clearly explains the medications ordered and any scheduled follow-up tests or appointments. Assesses the patient’s overall experience and offers to connect them immediately with a live care team member, escalating to the clinic when necessary.

Post-Visit the Care team Advocate digital human follows up after appointments by sharing visit summaries, prescriptions, and care instructions. It confirms prescription pickup, verifies understanding of scheduled testing and discharge instructions, provides pharmacy details upon request, and alerts patients to upcoming tests. Confirms whether or not prescriptions were filled. The digital human inquires about financial or transportation constraints and connects patients to resources, gathers any new symptoms experienced post visit and gathers feedback on the overall visit. Inquirers regarding discharge process including how the clinic could have done better and offers direct care team outreach, notifying the clinic when needed.

The core AI engine processes clinic and patient driven data, delivers actionable insights, and powers intelligent decision-making throughout the entire patient journey on a real time basis.

Care Team Advocate digital human is available If patients experience extended wait times after nurse or PA interactions, they can easy alert the Care Team Advocate Avatar. The avatar also enables real-time feedback on care team service, instantly notifying the team of any issues for prompt resolution.

While patient waits, the PA digital human proactively checks in by asking how the check-in process went, informs patients about complimentary refreshments, and offers immediate access to meditation or mindfulness resources on their phone for stress relief. If a patient expresses frustration about wait times, the avatar promptly alerts the intake team to initiate service recovery. It also enables patients to provide real-time feedback on their intake experience.

The PA Advocate digital human delivers appointment reminders and confirmations, ensures patients are prepared for their visit, answers questions regarding clinic location, directions, parking, and pre-visit instructions, confirms insurance card requirements, and seamlessly handles rescheduling requests.
